1. Acceptance and eligibility
These Terms form a binding agreement between you and Atanga SkillBridge Group LLC. “You” means the individual using the website or services and, when applicable, the organization that individual represents.
You must be at least 18 years old and legally able to enter into a contract. If you use the website or engage us for an organization, you represent that you have authority to bind that organization. Services for a minor must be arranged and accepted by a parent or legal guardian.
2. Website use and acceptable conduct
We grant you a limited, revocable, non-exclusive, non-transferable right to access and use this website for lawful personal or internal business purposes. You agree not to:
- violate any applicable law, regulation, court order, or third-party right;
- submit false, misleading, fraudulent, defamatory, or unlawful material;
- impersonate another person or misrepresent your authority or affiliation;
- introduce malware, attempt unauthorized access, interfere with security, or disrupt the website;
- scrape, harvest, copy, or use website content or contact information through automated means without written permission;
- reverse engineer, frame, mirror, resell, or commercially exploit any part of the website; or
- use the website or our content to develop or train a competing product, service, or automated system without written permission.
Information submitted through forms must be accurate and current. You are responsible for safeguarding any access link, password, or account credentials issued to you and for promptly notifying us of suspected unauthorized use.
If you choose to communicate with us electronically, you consent to receive service-related communications by email, telephone, video conference, or other agreed electronic means. Marketing communications remain optional, and you may unsubscribe at any time.
3. Services, proposals, and scope
Our offerings may include workforce and career development, technology and artificial-intelligence training, grant-readiness and proposal support, consulting, document support, notary-related services, and related professional services.
The specific deliverables, schedule, price, assumptions, dependencies, and acceptance criteria for paid work will be stated in a written proposal, statement of work, registration page, invoice, or similar document. A website description, consultation, estimate, or proposal is not a commitment to begin work until we confirm the engagement.
Requests outside the agreed scope may require a revised timeline, additional fee, or separate agreement. We may use qualified employees, contractors, instructors, or service providers to perform portions of the work while remaining responsible for managing the engagement as set out in the applicable service agreement.
4. Training, courses, and events
Registration is subject to availability, receipt of any required payment, and the prerequisites shown for the program. You are responsible for having the equipment, internet access, software, identification, and other materials stated in the course information.
Course schedules, instructors, delivery formats, venues, and curricula may change when reasonably necessary. If we materially change or cancel a paid program, we will offer an appropriate alternative, credit, rescheduling option, or refund consistent with the registration terms and applicable law.
Attendance or completion does not guarantee a job, promotion, income level, certification, license, funding award, business result, or any other outcome. Certificates of completion, where offered, confirm only that the stated participation or assessment requirements were met; they are not professional licenses unless expressly identified as such by the issuing authority.
Training materials are licensed to the registered participant for personal learning or internal organizational use only. Recording, reproducing, sharing login links, redistributing materials, or allowing unregistered participants to attend is prohibited without our prior written consent.
5. Grant, career, AI, and document support
Grant and funding support. We may research opportunities, assess readiness, review materials, or help prepare submissions, but funders make independent decisions. We do not guarantee eligibility, submission acceptance, funding, scoring, award amounts, or payment timing. You are responsible for approving the final application and ensuring that all statements, budgets, certifications, and supporting documents are complete and truthful.
Career and workforce support. Coaching, CV support, training, and job-readiness services are educational and advisory. Hiring and employment decisions are made by independent employers, and we do not guarantee interviews, employment, compensation, immigration status, or career outcomes.
Technology and AI support. Technology and AI tools can produce inaccurate, incomplete, biased, or outdated output. You remain responsible for human review, fact-checking, privacy, security, regulatory compliance, and decisions made using any tool or output. Do not provide confidential, regulated, or personal information to a third-party AI system unless you are authorized to do so and have assessed that system’s terms and safeguards.
Notary and document support. Availability, identity checks, witnesses, document format, and other requirements depend on the document and applicable law. Unless a service is expressly provided by a licensed attorney under a separate agreement, our services are not legal advice, legal representation, or a substitute for advice from a qualified lawyer. We may decline a request when requirements are not satisfied or the transaction raises authenticity, capacity, coercion, legality, or compliance concerns.
6. Fees, expenses, taxes, and payment
Fees, currency, deposits, installment dates, included revisions, and approved expenses will be identified before paid work begins. Unless stated otherwise, quoted prices exclude taxes, government charges, filing fees, travel, translation, software licenses, and other third-party costs.
You authorize us and our payment processors to charge the payment method you provide for amounts that you approve. You represent that you are authorized to use that payment method. Payment processors handle payment information under their own terms and privacy policies.
Invoices are due on the date stated on the invoice. If an undisputed amount is overdue, we may pause work, withhold delivery of unpaid deliverables, cancel a reservation, or require payment before resuming. You must raise a good-faith billing dispute promptly and pay any undisputed portion on time.
7. Scheduling, cancellation, and refunds
Appointment, course, and project dates are reserved based on our availability and your timely cooperation. The cancellation, transfer, rescheduling, and refund policy shown at booking or in your service agreement applies to that purchase.
If no specific policy is provided, contact us as soon as possible. We will review requests fairly, taking into account work already completed, reserved time, non-refundable third-party costs, and our ability to refill the booking. Nothing in these Terms limits any cancellation or refund right that cannot lawfully be excluded.
If delay is caused by missing information, late approvals, nonpayment, or another client dependency, dates may be adjusted and additional work may be chargeable. We are not responsible for delay caused by events reasonably outside our control.
8. Your responsibilities
You agree to provide timely, accurate, complete, and lawful information; identify decision-makers; attend scheduled sessions; review work when requested; and obtain all permissions needed for materials you give us.
You are responsible for final business, financial, hiring, legal, compliance, funding, technology, and operational decisions. Unless our written agreement expressly assigns a task to us, you remain responsible for filings, submissions, signatures, deadlines, backups, approvals, regulatory requirements, and implementing recommendations.
You represent that content, data, logos, images, documents, credentials, and other materials you supply do not violate law or another person’s rights and may be used by us to perform the agreed services.
9. Intellectual property and submitted content
The website and its text, graphics, branding, course content, templates, software, methods, and other materials are owned by or licensed to us and are protected by intellectual-property laws. Except for the limited right to use the website under these Terms, no rights are transferred to you.
Ownership and usage rights for custom deliverables will be stated in the applicable service agreement. If that agreement is silent, we retain ownership of our pre-existing materials, know-how, processes, reusable components, and general methods. After full payment, you may use the final custom deliverable internally for the purpose for which it was created, but you may not resell, sublicense, or publish our proprietary source materials or training content.
You retain ownership of materials you provide. You grant us a limited license to host, copy, adapt, and use those materials only as reasonably needed to deliver services, administer the relationship, comply with law, and protect our rights.
Feedback and suggestions may be used without restriction or compensation, provided we do not identify you publicly without permission. We will use your name, logo, testimonial, project details, or results in marketing only with your consent or as otherwise permitted in a written agreement.
10. Confidentiality, records, and privacy
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use that information only for the engagement, protect it with reasonable care, and disclose it only to people who need it and are subject to appropriate confidentiality duties.
Confidentiality obligations do not cover information that is publicly available without breach, already lawfully known, independently developed, or lawfully received from another source. A party may disclose information when required by law after giving notice where legally permitted.
Our Privacy Policy explains how we collect and handle personal information through the website. Because ordinary email and internet transmission are not guaranteed secure, please do not send passwords, payment-card details, government identification numbers, health records, or similarly sensitive information unless we have agreed on an appropriate method.
We may retain engagement records for operational, legal, tax, backup, dispute-resolution, and compliance purposes, then delete or anonymize them in accordance with our practices and applicable law.
11. Third-party platforms, links, and resources
Our website and services may link to or rely on third-party platforms for payments, scheduling, video meetings, email, cloud storage, analytics, learning, AI, job listings, grant opportunities, or other functions. We do not control those third parties and are not responsible for their availability, security, content, decisions, or practices.
Your use of a third-party service is governed by that provider’s terms and privacy policy. A link, reference, integration, or discussion of a third-party resource is not an endorsement or guarantee. You are responsible for evaluating whether a third-party service is suitable for your needs.
12. Disclaimers
To the fullest extent permitted by law, the website and general informational content are provided “as is” and “as available.” We do not warrant that the website will always be uninterrupted, secure, error-free, current, or free of harmful components.
Website articles, tools, checklists, automated responses, consultations, and training materials provide general information and education. They are not legal, tax, accounting, medical, financial-investment, immigration, cybersecurity, or other regulated professional advice unless that service is expressly identified in a separate written agreement and delivered by a properly qualified professional.
We will perform paid services with reasonable care consistent with the applicable agreement, but we do not promise any result that depends on third parties, market conditions, funders, employers, government bodies, technology platforms, participant effort, or information outside our control.
Some jurisdictions do not allow certain warranty exclusions. In that case, these exclusions apply only to the extent permitted by applicable law.
13. Limitation of liability
To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, opportunities, goodwill, anticipated savings, or data, arising from these Terms or the services, even if advised that such loss might occur.
To the fullest extent permitted by law, our total aggregate liability arising from a particular paid engagement will not exceed the fees you paid us for that engagement during the six months before the event giving rise to the claim. For claims arising only from free website use or free resources, our total aggregate liability will not exceed US $100.
These limits do not apply to liability that cannot lawfully be limited or excluded. The limitations reflect the allocation of risk between the parties and apply regardless of the legal theory asserted.
14. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Atanga SkillBridge Group LLC and its owners, personnel, contractors, and affiliates from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the website or services, your breach of these Terms, materials or instructions you provide, or your infringement of another person’s rights.
We will give prompt notice of a covered claim and reasonable cooperation. You may not settle a claim in a way that admits wrongdoing by us or imposes an obligation on us without our written consent.
15. Suspension and termination
You may stop using the website at any time. Either party may terminate a service engagement as allowed by its written agreement. We may suspend or terminate access immediately when reasonably necessary to address nonpayment, unlawful conduct, security risk, harassment, threats, fraud, material breach, or harm to us, a participant, or a third party.
On termination, you must pay for authorized work performed and non-cancellable costs incurred through the effective date. Provisions that by their nature should continue—including payment, intellectual property, confidentiality, disclaimers, liability limits, indemnification, dispute terms, and general provisions—survive termination.
16. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where mandatory consumer law in your place of residence applies.
Before filing a formal claim, each party agrees to send written notice describing the dispute and requested resolution, then make a good-faith effort to resolve it for at least 30 days. Notices to us may be sent to info@atangaskillbridge.com.
Unless the parties agree otherwise or applicable law requires a different forum, a dispute that is not resolved informally must be brought in a state or federal court with jurisdiction serving Bexar County, Texas, and each party consents to that court’s jurisdiction and venue.
17. Changes to the website, services, and Terms
We may update the website, change or discontinue features, and revise these Terms as our services or legal obligations evolve. The “last updated” date shows when these Terms were most recently revised.
Revised Terms apply when posted unless a later date is stated. If a change materially affects an active paid engagement, the version accepted for that engagement will continue to govern unless the parties agree otherwise or the change is required by law. Continued use of the website after revised Terms take effect constitutes acceptance of the revised Terms.
18. General provisions
Entire agreement. These Terms, the Privacy Policy, and any applicable written service agreement are the entire agreement regarding their subject matter and replace prior discussions or communications about that subject.
Order of precedence. A signed or expressly accepted service agreement controls over these website Terms for its engagement. The remaining provisions continue to apply.
Severability and waiver. If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions stay in effect. A failure or delay in enforcing a right is not a waiver.
Assignment. You may not assign these Terms or a service agreement without our written consent. We may assign them in connection with a merger, reorganization, sale of assets, or transfer of the relevant business, subject to applicable law.
Independent parties. The parties are independent contractors. These Terms do not create an employment, partnership, joint-venture, franchise, fiduciary, or agency relationship.
Force majeure. Neither party is responsible for delay or failure caused by events beyond reasonable control, including natural disasters, severe weather, epidemic, war, civil unrest, labor disruption, government action, utility failure, or widespread internet or platform outage. Payment obligations for work already performed are not excused.
Headings and electronic records. Headings are for convenience only. Electronic acceptance, signatures, notices, and records may be used where the parties agree and applicable law permits.
